This agreement governs your use of the Valley Green Shredding customer portal, website, and related online services.
This End User License Agreement ("Agreement") is a binding agreement between you ("you" or "User") and Valley Green Shredding, LLC ("Valley Green Shredding," "we," or "us") governing your access to and use of our customer portal, website, online account tools, and any related software or applications we make available (collectively, the "Services"). By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.
Subject to your compliance with this Agreement, Valley Green Shredding grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for your own internal business or personal purposes in connection with the services we provide to you.
You agree that you will not, and will not permit others to:
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use or suspected security breach. We may suspend or terminate access to protect the Services, our customers, or you.
You retain ownership of the documents, files, and information you submit through the Services ("Your Content"). You grant us a limited license to host, process, and use Your Content solely to provide and support the Services and the destruction, scanning, or related services you have requested. You are responsible for ensuring you have the rights necessary to submit Your Content. Our handling of personal information is described in our Privacy Policy.
The Services, including all software, designs, text, graphics, logos, and other materials (excluding Your Content), are owned by Valley Green Shredding or its licensors and are protected by intellectual property laws. Except for the limited license granted above, this Agreement does not transfer any ownership or rights in the Services to you.
You agree to use the Services only for lawful purposes and in compliance with this Agreement and all applicable laws and regulations. We may establish reasonable limits on use of the Services and may modify, suspend, or discontinue any part of the Services at any time.
The Services may rely on or link to third-party products and services. We are not responsible for third-party services, and your use of them may be subject to their own terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. This section does not affect any separate written service agreement covering the physical destruction, scanning, or related services we perform for you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALLEY GREEN SHREDDING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE APPLICABLE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This Agreement remains in effect while you use the Services. We may suspend or terminate your access at any time if you violate this Agreement or to protect the Services. Upon termination, the license granted to you ends and you must stop using the Services. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.
This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts.
We may update this Agreement from time to time. When we do, we will revise the "Last updated" date below. Your continued use of the Services after changes take effect constitutes acceptance of the updated Agreement.
